Acceptance of Terms
By accessing, registering, purchasing, contributing, participating in internships, submitting projects, uploading content, using APIs, enrolling in programs, or otherwise using BrainzTalks services, you agree to be bound by these Terms of Service and all related policies.
Eligibility
Users must be legally capable of entering into binding agreements. Individuals under the age of 18 must use the platform only under lawful parental, guardian, institutional, or educational supervision.
Scope of Services
BrainzTalks may provide AI and software products, MVP development programs, internships, assessments, educational modules, consulting services, APIs, SaaS platforms, project-based learning, community collaboration, research initiatives, and related services.
Account Registration
Users must provide accurate, complete, and current information during registration. Providing false information, impersonation, or creating multiple unauthorized accounts may result in suspension or termination.
Assessment Integrity
Users shall not engage in cheating, plagiarism, proxy participation, answer sharing, manipulation of assessments, misuse of AI tools during restricted evaluations, or any activity that misrepresents their abilities.
Internship Participation
Participation in internship programs does not create an employer-employee relationship unless explicitly stated in a separate written agreement. Completion of an internship does not guarantee employment, placement, funding, or future engagement.
Project Submissions
Users may submit code, documents, designs, datasets, reports, research work, MVPs, or other deliverables. Users remain responsible for ensuring that submitted content does not violate third-party rights or applicable laws.
Payments and Subscriptions
Certain services may require payment of fees, subscriptions, certification charges, consulting fees, infrastructure fees, or program fees. Applicable taxes including GST may be charged where required by law.
Refunds and Cancellations
Refund eligibility shall be governed by the applicable Refund and Cancellation Policy. Access to completed assessments, digital content, downloadable materials, or consumed services may not be refundable.
Intellectual Property
All platform software, source code, assessments, AI systems, workflows, designs, APIs, documentation, branding, educational content, datasets, models, reports, and related materials remain the exclusive property of BrainzTalks and its licensors unless otherwise agreed in writing.
Contributor License
Users who voluntarily contribute code, documentation, content, research, datasets, plugins, workflows, prompts, or improvements grant BrainzTalks a perpetual, worldwide, royalty-free license to use, modify, distribute, sublicense, and commercialize such contributions.
Confidentiality
Users may receive access to confidential information including project details, source code, internal systems, pricing information, business processes, datasets, AI models, and evaluation methodologies. Such information must not be disclosed without authorization.
Acceptable Use
Users shall not upload malware, conduct unauthorized penetration testing, scrape platform data, reverse engineer systems, abuse APIs, distribute harmful content, create fake accounts, interfere with platform operations, or violate applicable laws.
AI Systems Disclaimer
AI-generated outputs may contain inaccuracies, omissions, biases, or outdated information. Users are responsible for independently verifying outputs before relying upon them for business, legal, medical, financial, academic, or other important decisions.
Third-Party Services
Certain services may integrate third-party providers such as payment gateways, cloud providers, communication tools, analytics platforms, or external APIs. BrainzTalks is not responsible for failures or disruptions caused by third-party services.
Certificates and Credentials
Certificates, badges, acknowledgements, or completion credentials may be issued based on successful completion of program requirements. BrainzTalks reserves the right to withhold, revoke, or invalidate credentials in cases of misconduct or policy violations.
Suspension and Termination
BrainzTalks may suspend, restrict, or terminate user access without prior notice for fraud, abuse, policy violations, security concerns, legal compliance requirements, or activities that may harm the platform or its users.
No Guarantee
BrainzTalks does not guarantee employment, internship conversion, business success, funding, client acquisition, certification recognition, academic outcomes, revenue generation, uninterrupted service availability, or commercial viability.
Limitation of Liability
To the maximum extent permitted by applicable law, BrainzTalks shall not be liable for indirect, incidental, consequential, special, punitive, or loss-of-profit damages. Total liability shall not exceed the amount paid by the user during the preceding three months.
Indemnification
Users agree to indemnify and hold harmless BrainzTalks, its affiliates, officers, employees, contractors, and partners against claims, damages, losses, liabilities, and expenses arising from misuse of the platform, violations of these Terms, or infringement of third-party rights.
Force Majeure
BrainzTalks shall not be liable for delays or failures caused by natural disasters, cyberattacks, internet outages, cloud service disruptions, pandemics, governmental actions, wars, labor disputes, or events beyond reasonable control.
Amendments
BrainzTalks reserves the right to modify these Terms, policies, pricing structures, programs, certifications, and platform features at any time. Continued use of the platform constitutes acceptance of updated terms.
Governing Law
These terms and policies shall be governed by and interpreted in accordance with the laws of India.
Dispute Resolution
Any disputes arising out of or relating to these terms shall first be attempted to be resolved amicably. If unresolved, disputes shall be referred to arbitration in Chennai, Tamil Nadu, India, in accordance with applicable laws.
