Subscription and Platform Access Agreement

Purpose
This Subscription and Platform Access Agreement ("Agreement") governs access to and use of the BrainzTalks platform, software, educational ecosystem, AI/ML learning programs, internship resources, APIs, digital content, certifications, community features, and related services provided by Brain Train Consultancy Services LLP ("BrainzTalks").
Eligibility
Users must have the legal capacity to enter into binding agreements or obtain the consent of a parent, guardian, institution, or authorized representative where required by applicable law.
Subscription License
Subject to compliance with this Agreement and payment of applicable fees, BrainzTalks grants the subscriber a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the platform solely for personal, educational, academic, or authorized business purposes.
Account Registration
Users may be required to create an account and provide accurate, complete, and current information. Users are responsible for maintaining the confidentiality of account credentials and for all activities occurring under their accounts.
Subscription Plans
BrainzTalks may offer free, trial, premium, enterprise, institutional, cohort-based, certification, mentorship, internship, or other subscription plans. Features, pricing, limitations, and benefits may vary by plan.
Fees and Payments
Subscribers agree to pay all applicable subscription fees, taxes, processing charges, and other fees associated with selected plans. Payments may be processed through authorized third-party payment providers.
Renewals
Subscriptions may renew automatically according to the selected billing cycle unless canceled before the renewal date. Users are responsible for reviewing applicable renewal terms and billing information.
Availability
BrainzTalks will use commercially reasonable efforts to maintain platform availability, performance, and accessibility. However, uninterrupted access, continuous uptime, error-free operation, or immediate availability cannot be guaranteed.
Maintenance and Updates
The platform may undergo maintenance, upgrades, security updates, infrastructure improvements, feature modifications, bug fixes, or temporary service interruptions without prior notice where reasonably necessary.
Acceptable Use
Users shall use the platform responsibly and lawfully. Unauthorized access attempts, reverse engineering, malware distribution, credential sharing, scraping, automated abuse, interference with platform operations, or violations of applicable laws are strictly prohibited.
Educational Content
Courses, training materials, projects, assignments, mentorship content, certifications, documentation, workshops, and learning resources are provided for educational and professional development purposes and may not be reproduced, redistributed, or commercially exploited without authorization.
Community Participation
Users participating in forums, cohorts, mentorship sessions, communities, hackathons, projects, or collaborative activities must maintain professional conduct, respect other participants, and comply with applicable community guidelines.
Intellectual Property
BrainzTalks retains all rights, title, and interest in its software, source code, content, trademarks, branding, methodologies, AI systems, learning materials, documentation, designs, and proprietary technologies. No ownership rights are transferred through subscription access.
User Content
Users retain ownership of content they submit, upload, or create using the platform. By submitting content, users grant BrainzTalks a limited license to host, process, display, analyze, and use such content as necessary to provide services.
AI Services Disclaimer
Where AI-powered tools, recommendations, assessments, analytics, or generated outputs are provided, users acknowledge that such outputs may contain inaccuracies, assumptions, omissions, or limitations and should be independently reviewed before reliance.
Privacy and Data Protection
Personal information shall be processed in accordance with the BrainzTalks Privacy Policy, Data Processing Agreement, Security Policy, and applicable data protection laws.
Third-Party Services
The platform may integrate with third-party software, cloud providers, APIs, communication tools, payment processors, or external services. BrainzTalks is not responsible for the performance, availability, policies, or actions of third-party providers.
Suspension of Access
BrainzTalks may suspend, restrict, or limit access to the platform in cases of suspected fraud, security concerns, non-payment, abuse, policy violations, legal requirements, operational risks, or protection of platform integrity.
Termination
Access may be suspended or terminated for violations of this Agreement, misuse of services, infringement of intellectual property rights, unauthorized sharing of access credentials, fraudulent activity, non-payment, unlawful conduct, or behavior that negatively impacts the platform or community.
Effect of Termination
Upon termination, access rights granted under this Agreement immediately cease. BrainzTalks may disable accounts, remove access to subscription features, and retain or delete data in accordance with applicable policies and legal obligations.
No Employment Guarantee
Participation in educational programs, certifications, mentorship initiatives, internships, projects, or platform activities does not guarantee employment, internships, placements, promotions, funding, admissions, or business opportunities.
Disclaimer of Warranties
The platform and services are provided on an "as is" and "as available" basis. BrainzTalks disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, non-infringement, availability, and uninterrupted operation.
Limitation of Liability
To the maximum extent permitted by law, BrainzTalks shall not be liable for indirect, incidental, special, consequential, exemplary, punitive, or lost-profit damages arising from or related to the use of the platform. Aggregate liability shall not exceed the subscription fees paid during the twelve months preceding the claim.
Indemnification
Users agree to indemnify and hold harmless BrainzTalks, its affiliates, directors, employees, contractors, partners, and representatives from claims, losses, liabilities, damages, costs, and expenses arising from misuse of the platform, violation of this Agreement, infringement of rights, or unlawful activities.
Force Majeure
BrainzTalks shall not be responsible for delays, interruptions, or failures resulting from circumstances beyond reasonable control, including natural disasters, cyberattacks, infrastructure failures, internet disruptions, labor disputes, governmental actions, or public emergencies.
Governing Law
This Agreement shall be governed by and interpreted in accordance with the laws of India.
Dispute Resolution
Any dispute arising from or relating to this Agreement shall first be addressed through good-faith negotiations. If unresolved, disputes shall be submitted to arbitration in Chennai, Tamil Nadu, India, and the arbitration award shall be final and binding.
Entire Agreement
This Agreement, together with related policies, terms, subscription plans, and applicable service documents, constitutes the complete agreement between the parties regarding platform access and subscription services.
Governing Law
These terms and policies shall be governed by and interpreted in accordance with the laws of India.
Dispute Resolution
Any disputes arising out of or relating to these terms shall first be attempted to be resolved amicably. If unresolved, disputes shall be referred to arbitration in Chennai, Tamil Nadu, India, in accordance with applicable laws.
